Big Deal Company Law Moot

About the Moot

Big Deal is a regional competition in company law. The creator and coordinator of the Big Deal project is law firm Janković, Popović, Mitić and since last year, the project includes members of TLA: Tkalčić-Đulić, Prebanić, Rizvić and Jusufbašić-Goloman (BIH), Šavorić & Partneri (Croatia), Debarliev, Dameski & Kelesoska Attorneys At Law (Macedonia), Rojs, Peljhan and Partners (Slovenia). The goal of Big Deal is to transfer practical knowledge from the field of company law to the students of law faculties in the region, through simulation of mergers and acquisitions transaction (M&A).

Big Deal commences in September each year, when the case along with the business documentation of one company are distributed to the participants. It consists of two parts. The first one is preparation and submission of the written legal due diligence report based on an investigation of the given business documentation, as well as share purchase agreement (SPA), prior to it`s oral presentation. The writing of these documents takes about a month, and includes knowledge of numerous legal areas apart from company law, such as competition law, property law, commercial law, labor law and many other fields of law. On the basis of the awarded points, two best teams pass to the finals. The finalists are given a new problem, for example, to draft a shareholders’ agreement (SA), and, according to how successful they are in performing the task, the winner of the competition is chosen. Complete communication between lawyers and students takes place in English.
